Spektrum Capital Advisors has advised Mumbai-based Vertoz Limited in its USD 6.6 million acquisition of New Jersey-based WebiMax LLC through Vertoz Inc. The cross-border transaction strengthens Vertoz’s AI-driven digital marketing capabilities and expands its presence in the United States market, highlighting the growing trend of Indian companies acquiring strategic American businesses.
The transaction, valued at an enterprise value of approximately USD 6.6 million, includes the acquisition of an initial 80 percent stake in WebiMax, while the remaining stake will be acquired over the next three years based on predefined performance milestones.

The acquisition is expected to significantly strengthen Vertoz’s position in the global digital advertising market. The transaction will expand the company’s footprint in the U.S. digital marketing sector, enhance its AI-led performance marketing capabilities, unlock cross-border client and revenue synergies, and establish a scalable platform for future international expansion.
The acquisition has been structured as a non-dilutive transaction and will be financed through a combination of approximately 75 percent debt and nearly 25 percent internal accruals. The financing structure reflects Vertoz’s disciplined capital allocation strategy while preserving shareholder value.
